8. Fees for Facilitated Deals:

  • Deal Facilitation Fee: In the event that Bajdak Capital, a trading name of B.space d.o.o., presents or introduces an investment opportunity (a "Deal") to a client, and the client subsequently enters into a transaction related to that Deal, the client agrees to pay B.space d.o.o. a fee (the "Deal Facilitation Fee").

  • Specific Fee Percentages:

    • For facilitating alternative financing deals, the Deal Facilitation Fee is 5% of the total financing amount.

    • For facilitating property transactions, the Deal Facilitation Fee is 4% of the total property transaction value.

    • For facilitating business transactions, the Deal Facilitation fee is 10% of the gross revenue generated by the business within the first 36 months of the transaction.

  • Fee Structure: The specific details of the Deal Facilitation Fee, including any applicable minimums or maximums, will be outlined in a separate agreement or contract provided to the client before the transaction is finalized.

  • Payment Terms: The payment terms for the Deal Facilitation Fee, including the timing and method of payment, will be specified in the separate agreement.

  • Non-Circumvention: The client agrees not to circumvent B.space d.o.o. in any transaction related to a Deal presented by Bajdak Capital. Any attempt to circumvent B.space d.o.o. will result in the client being liable for the full amount of the Deal Facilitation Fee, as if the transaction had been completed through Bajdak Capital.

9. Indemnification:

You agree to indemnify and hold harmless B.space d.o.o., its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising out of your use of this Website or your breach of these Terms.  

10. Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the Republic of Slovenia, without regard to its conflict of law provisions.  

11. Changes to Terms:

B.space d.o.o. reserves the right to modify these Terms at any time. Any changes will be posted on this Website, and your continued use of the Website after the changes are posted constitutes your acceptance of the modified Terms.
